LogicDock Maritime Management System

1. ACCEPTANCE OF TERMS

By accessing or using the LogicDock Maritime Management System (the "Service"), you ("User" or "Company") agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. SERVICE DESCRIPTION & PROPRIETARY RIGHTS

LogicDock provides a proprietary vessel logistics and engine room management engine. All source code, database schemas, and visual interfaces are the intellectual property of LogicDock. All Rights Reserved.

3. BILLING & FEES

Initial Setup: A one-time setup fee and the first month's subscription (covering one vessel) are due upon registration.
Monthly Audit: Billing is conducted monthly based on the "Active Vessel" count at the end of each billing cycle.
Annual Plans: Annual prepayments cover a specific "Vessel Limit." Any vessels added exceeding this limit will be billed at the standard monthly rate.
No Refunds: As billing is based on services rendered for the previous month, LogicDock does not offer partial or full refunds for deactivated vessels or early cancellations.

6. DATA RETENTION & DELETION (SaaS AGREEMENT)

6.1 Data Retention During the Term

During the Term of this Agreement, Provider will store and maintain Customer Data in accordance with Provider's standard security, backup, and disaster-recovery practices. Customer remains solely responsible for exporting or backing up Customer Data as needed for its own operational or regulatory purposes.

6.2 Post-Termination Access Period

Upon expiration or termination of this Agreement for any reason, Customer will retain read-only access to the Service for thirty (30) days ("Post-Termination Access Period") solely for the purpose of exporting Customer Data. No new data may be added or modified during this period.

6.3 Deletion of Customer Data

At the end of the Post-Termination Access Period, Provider will schedule the Customer's workspace, database, and associated files for deletion. Provider will permanently delete all Customer Data from active systems within thirty (30) to sixty (60) days following the end of the Post-Termination Access Period.

Deletion will include:

  • Application database records
  • File storage associated with the Customer
  • Logs or metadata uniquely attributable to the Customer (unless legally required to retain)

Provider will not be obligated to retain Customer Data beyond these timeframes unless otherwise required by applicable law.

6.4 Backup and Archival Copies

Customer acknowledges that Customer Data may persist in encrypted backup archives for up to ninety (90) days after deletion from active systems, in accordance with Provider's standard backup rotation schedule.

Backup copies:

  • Are not accessible to Customer
  • Are not used for any purpose other than disaster recovery
  • Are automatically overwritten and destroyed on a rolling basis
  • Remain subject to all confidentiality and security obligations under this Agreement

6.5 Legally Required Retention

Provider may retain limited Customer Data as necessary to comply with:

  • Tax, accounting, or financial recordkeeping laws
  • Fraud prevention or security obligations
  • Enforcement of Provider's rights under this Agreement

Such retained data will be minimized to the extent legally permissible and will not include operational Customer Data unless required by law.

6.6 Certification of Deletion

Upon written request, Provider will provide Customer with a written confirmation that Customer Data has been deleted from active systems in accordance with this clause.

6.7 No Indefinite Retention

Provider will not retain Customer Data indefinitely and will not store Customer Data beyond the periods described in this clause unless required by law or expressly agreed in writing by both parties.

7. LIMITATION OF LIABILITY

LogicDock is a management tool. While we strive for 100% accuracy in engine and maintenance tracking, the User remains solely responsible for the physical safety, maintenance, and operation of all maritime vessels. LogicDock is not liable for mechanical failure or maritime incidents.

5. ACCESS CONTROL

Access to the Service is contingent upon successful payment. Failure to pay monthly invoices within 7 days of the due date may result in immediate suspension of the Service.
